1. Definitions & Agreement

• “Artist” refers to Sprite (Amy Beckwith)

• “Client” refers to the person, organisation, or business commissioning the artwork as stated in the Quote or Invoice.

• “Artwork” refers to all preliminary designs, sketches, digital illustrations, and the completed physical or digital work described in the Project Scope.

• Acceptance of a quote, payment of a deposit, or written instruction to proceed constitutes full acceptance of these Terms & Conditions.

2. Copyright & Intellectual Property Ownership

• Retention of Ownership: The Artist retains sole and exclusive ownership of all copyright, moral rights, and intellectual property rights in the Artwork (including all preliminary sketches, digital mock-ups, drafts, and the final artwork) worldwide in perpetuity, under the Copyright, Designs and Patents Act 1988.

• No Assignment: This agreement is a commission for design and installation services and the grant of a limited licence. It does not constitute a transfer, sale, or assignment of copyright or “work-for-hire.”

3. Grant of Licence & Permitted Usage

• Specific Licence: Subject to full and final payment, the Artist grants the Client a non-exclusive, non-transferable licence to display the physical Artwork solely at the location specified in the Quote/Invoice (the “Permitted Purpose”).

• Digital & Marketing Incidental Use: The Client may photograph the installed physical mural solely for incidental promotional use (e.g. background of venue social media photos, venue website imagery) directly connected to promoting the physical premises.

• Strict Restrictions on Derivative Works:

  • The Client shall not copy, trace, vectorise, adapt, alter, digitally extract, or create derivative works from the Artwork or any preliminary designs.

  • The Client shall not sub-license, sell, or supply the Artwork or elements thereof to third parties, agencies, or other illustrators/designers.

  • The Artwork may not be reproduced on merchandise, retail packaging, apparel, digital products, separate marketing campaigns, print collateral, or used in exhibitions/events separate from the physical site without a separate written licensing agreement and payment of an agreed licensing fee.

4. Moral Rights & Credit Attribution

• Assertion of Rights: The Artist asserts their statutory moral right to be identified as the author of the Artwork under Chapter IV of the Copyright, Designs and Patents Act 1988.

• Attribution: The Client agrees to clearly and visibly credit the Artist (e.g. “Mural / Artwork by Sprite / @i.am.sprite”) in all official press releases, publications, public editorial features, and dedicated social media posts featuring the Artwork.

• Integrity of Work: The Client shall not distort, mutilate, deface, crop, or apply derogatory treatment to the Artwork or overlay third-party logos or text onto the Artwork without prior written consent.

5. Preliminary Concepts & Unused Designs

• All preliminary sketches, concepts, colour roughs, and rejected designs remain the exclusive property of the Artist.

• Unapproved designs may not be used, adapted, or handed to any third party to execute. If a project does not proceed, no licence is granted to any submitted concept.

6. Payment Terms & Licence Condition

• Deposit: A non-refundable booking deposit of e.g. 50% is required to secure dates and commence design/pre-production work.

• Balance: The remaining balance is due within 7 days of invoice issuance upon completion.

• Conditional Licence: Any licence granted under Section 3 is strictly conditional upon receipt of payment in full. If payment is overdue, the licence is immediately suspended, and any public display, reproduction, or use of the Artwork constitutes copyright infringement.

7. Artist Promotion & Documentation

• The Artist reserves the irrevocable right to photograph, film, and document the creation process and finished Artwork, and to freely use all photographs, video footage, and digital representations in their portfolio, website, social media, exhibitions, press, and promotional materials.

8. Site Access, Preparation & Alterations (Murals)

• Wall Preparation: The Client is responsible for ensuring the surface is structurally sound, clean, dry, primed (if agreed), and free from damp or loose material prior to the agreed start date.

• Access & Safety: The Client shall provide safe, unobstructed access to the site, necessary utilities (power/water), and secure overnight storage for materials/equipment where applicable.

• Decommissioning / Maintenance: The Artist is not liable for natural weathering, substrate deterioration, graffiti, or damage caused by third parties. If the building is to be renovated, demolished, or the wall repainted, the Client agrees to give the Artist reasonable written notice (minimum 30 days) to allow for photographic documentation.

9. Cancellation & Kill Fees

• If the Client cancels the project after concept approval or during production, the Client is liable for all hours worked to date, all non-returnable materials purchased, and equipment hire incurred, up to the full quoted project value.

10. Governing Law

• These terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales.
